Master Terms of Service / SaaS Agreement

1. Introduction
These Master Terms of Service (“Terms”) govern the access to and use of the RISK4SEA platform, services, software, APIs, reports, analytics, dashboards, alerts, benchmarking tools and associated digital services (collectively, the “Platform”) provided by RISK4SEA.

By accessing or using the Platform, the Client and its authorized users agree to be bound by these Terms.
These Terms apply together with the following separate policies, each incorporated by reference where applicable:

  • Information Security Policy

In the event of conflict, these Terms shall prevail unless expressly stated otherwise.

 

2. Definitions

  • “Client” means the legal entity subscribing to the Platform.
  • “Authorized User” means an individual authorized by the Client to access the Platform.
  • “Services” means the subscription-based PSC intelligence, analytics, benchmarking, automation and related services provided through the Platform.
  •  “Client Data” means data submitted by or on behalf of the Client.
  • “RISK4SEA Data” means proprietary datasets, analytics, methodologies, scoring systems, predictive indicators, benchmarks, reports and intelligence generated or licensed by RISK4SEA.
  • “Subscription” means the commercial access rights granted under an active order, proposal, quotation or agreement.

 

3. License Grant
Subject to compliance with these Terms and payment of applicable fees, RISK4SEA grants the Client a limited, non-exclusive, non-transferable, revocable subscription license to access and use the Platform solely for internal business purposes. No ownership rights are transferred to the Client.

 

4. Subscription & Commercial Terms
Subscriptions are provided under the commercial scope, duration, fleet coverage, modules and pricing agreed between the parties.
Unless otherwise agreed in writing:

  • subscriptions automatically renewed for successive annual periods;
  • fees are non-refundable;
  • late payments may result in suspension of access;
  • taxes, duties and governmental charges are excluded from fees.

RISK4SEA may revise pricing upon renewal with prior notice.

 

5. Authorized Users
The Client is responsible for:

  • all activities conducted under its accounts;
  • maintaining confidentiality of credentials;
  • ensuring Authorized Users comply with applicable policies;
  • promptly notifying RISK4SEA of unauthorized access or security incidents.

Shared, pooled or unauthorized account access is prohibited unless expressly agreed.

 

6. Intellectual Property Rights
All rights, title and interest in the Platform, Services, RISK4SEA Data, methodologies, software, algorithms, interfaces, analytics, reports, benchmarks, trademarks and documentation remain the exclusive property of RISK4SEA and its licensors.

The Client shall not:

  • reproduce, resell or commercially exploit the Platform;
  • reverse engineer or attempt to derive source code;
  • create competing datasets or derivative intelligence products;
  • remove proprietary notices;
  • publish or redistribute RISK4SEA benchmarks or rankings without written authorization.

Client Data remains the property of the Client.

RISK4SEA may use aggregated and anonymized operational data for analytics, benchmarking, research, product improvement and industry intelligence purposes.

 

7. Platform Availability
RISK4SEA will use commercially reasonable efforts to maintain Platform availability and continuity.

The Platform may occasionally experience interruptions related to maintenance, upgrades, third-party dependencies, cyber incidents or force majeure events.

Availability targets and support commitments are governed separately under the applicable SLA.

 

8. Data & Intelligence Disclaimer
The Platform provides operational intelligence, predictive analytics, benchmarking and decision-support tools based on available data sources, methodologies and analytical models.

RISK4SEA does not guarantee:

  • inspection outcomes;
  • detention avoidance;
  • regulatory compliance;
  • operational performance improvements;
  • uninterrupted data availability;
  • completeness or accuracy of third-party data sources.

Platform outputs constitute informational and analytical support tools and do not replace professional maritime, operational, legal, technical or regulatory judgement.

 

9. Limitation of Liability
To the maximum extent permitted by applicable law:

  • the Platform is provided “as available” and “as is”;
  • RISK4SEA disclaims all implied warranties;
  • RISK4SEA shall not be liable for indirect, consequential, incidental, punitive or special damages, including loss of profit, business
  • interruption, detention costs, charterparty losses, reputational damage or regulatory penalties.

RISK4SEA’s aggregate liability arising from the Services shall not exceed the total fees paid by the Client during the preceding twelve (12) months.

Nothing in these Terms excludes liability that cannot legally be excluded.

 

10. Indemnification
The Client shall indemnify and hold harmless RISK4SEA against claims arising from:

  • misuse of the Platform;
  • violation of applicable laws;
  • unauthorized dissemination of Platform outputs;
  • breach of these Terms by the Client or its Authorized Users.

 

11. Compliance & Sanctions
The Client represents that it is not subject to applicable sanctions, export restrictions or prohibited trade regulations.

The Platform may not be used in violation of international sanctions, export control laws or maritime regulatory restrictions.

RISK4SEA reserves the right to suspend or terminate access where compliance concerns arise.

 

12. Suspension & Termination
RISK4SEA may suspend or terminate access where:

  • fees remain unpaid;
  • material breaches occur;
  • misuse or security threats are identified;
  • regulatory or legal obligations require suspension.

Upon termination:

  • all access rights cease;
  • outstanding fees remain payable;
  • confidentiality and IP obligations survive termination.

 

13. Confidentiality
Each party shall protect confidential information disclosed in connection with the Services and shall not disclose such information to third parties except where required by law or professional obligation.

Confidentiality obligations survive termination for five (5) years.

 

14. Governing Law & Jurisdiction
These Terms shall be governed by the laws of Greece.

Any dispute arising in connection with the Platform or Services shall be subject to the exclusive jurisdiction of the competent courts of Athens, Greece.

 

15. Amendments
RISK4SEA may update these Terms from time to time. Material updates shall become effective upon publication or notification through the Platform. Continued use of the Platform following such updates constitutes acceptance of the revised Terms.

Platform Terms of Use

1. Purpose
These Platform Terms of Use (“Terms of Use”) govern the operational access to and use of the RISK4SEA platform, portals, dashboards, APIs, mobile interfaces, reports and associated digital environments (collectively, the “Platform”).

These Terms of Use regulate user conduct, access conditions and operational restrictions applicable to all users accessing the Platform.

Commercial subscription terms, privacy obligations, security commitments and benchmarking governance are governed separately under the applicable RISK4SEA policies and agreements.

 

2. Authorized Access
Access to the Platform is permitted only to authorized users operating under a valid subscription or approved access arrangement.

Users shall:

  • maintain accurate account information;
  • keep credentials secure and confidential;
  • access the Platform only for legitimate internal business purposes;
  • immediately report unauthorized access or suspected misuse.  

RISK4SEA may restrict, suspend or revoke access at its discretion where misuse, abnormal activity or security concerns are identified.

 

3. Acceptable Platform Use
Users may use the Platform solely for lawful maritime operational, compliance, intelligence and analytical purposes.

Users shall not:

  • share credentials with unauthorized persons;
  • attempt to bypass access controls or security mechanisms;
  • interfere with Platform stability, performance or integrity;
  • use automated tools to scrape, crawl or systematically extract data;
  • reproduce or mirror substantial portions of Platform outputs;
  • use the Platform to develop competing products, datasets or intelligence services;
  • probe, test or exploit vulnerabilities without authorization;
  • upload malicious code, malware or disruptive content;
  • use the Platform in violation of applicable laws, sanctions or export restrictions. 

 

4. API & Automated Access
Any API, integration or automated access functionality may only be used under authorized configurations and applicable technical limitations.

Unauthorized bulk extraction, high-frequency querying, reverse engineering or replication of Platform intelligence is prohibited.

RISK4SEA reserves the right to throttle, monitor, suspend or terminate automated access where misuse or abnormal consumption patterns are detected.

 

5. Benchmarking & External Publication

Unless expressly authorized in writing, users may not:

  • publicly reproduce Platform rankings, scores or benchmark outputs;
  • redistribute proprietary reports or intelligence externally;
  • present RISK4SEA analytics as independently generated datasets;
  • modify or manipulate benchmark outputs in a misleading manner.
  • Permitted internal business use does not grant publication or redistribution rights.

 

6. User Content & Communications
Where users submit comments, uploads, inspection remarks, operational inputs or other content through the Platform, users remain responsible for the legality and accuracy of such content.

Users shall not submit:

  • unlawful or infringing content;
  • misleading operational information;
  • malicious code or harmful material;
  • confidential third-party information without authorization.  

RISK4SEA may remove or restrict content that violates these Terms of Use or creates operational, legal or security concerns.

 

7. Platform Integrity & Monitoring
RISK4SEA may monitor Platform usage, access behavior, system activity and technical interactions for:

  • security protection;
  • fraud prevention;
  • service optimization;
  • abuse detection;
  • operational analytics;
  • regulatory compliance.  

Such monitoring is conducted in accordance with applicable privacy and data protection obligations.

 

8. Third-Party Services & Links
The Platform may interface with or reference third-party systems, AIS feeds, maritime databases, cloud providers or external services.

RISK4SEA does not control or assume responsibility for third-party systems, content availability or external operational dependencies.

 

9. Suspension of Access
RISK4SEA may temporarily or permanently suspend user access where:

  • these Terms of Use are violated;
  • abnormal or suspicious activity is detected;
  • cybersecurity risks arise;
  • legal or regulatory obligations require restriction;
  • operational integrity of the Platform may be impacted. 

 

10. Amendments
RISK4SEA may update these Terms of Use periodically to reflect operational, legal, technological or security developments. Continued use of the Platform following publication of updated Terms constitutes acceptance of the revised version.

Privacy Policy

Data Processing Agreement (DPA)

1. Purpose
This Data Processing Agreement (“DPA”) governs the processing of personal data by RISK4SEA in connection with the provision of the RISK4SEA platform, software, APIs, analytics and related services (collectively, the “Services”).

This DPA forms part of the applicable agreement between RISK4SEA and the Client and applies where RISK4SEA processes personal data on behalf of the Client under applicable data protection laws, including the General Data Protection Regulation (GDPR).

This DPA addresses processor-related obligations only. Operational usage rules, commercial terms, cookies, benchmarking governance and security disclosures are governed separately under the applicable RISK4SEA policies and agreements.

 

2. Roles of the Parties
For purposes of applicable data protection laws:

  • the Client acts as the Data Controller;
  • RISK4SEA acts as the Data Processor. 

The Client is responsible for ensuring that personal data is lawfully collected and provided to RISK4SEA.

 

3. Scope of Processing
RISK4SEA may process personal data solely for the purpose of providing the Services, including:

  • user account administration;
  • authentication and access management;
  • Client support;
  • platform hosting and maintenance;
  • cybersecurity monitoring;
  • operational analytics;
  • technical communications;
  • service continuity and system administration. 

The categories of personal data processed may include business contact details, account identifiers, authentication logs, usage records and operational user inputs.

 

4. Processor Obligations
RISK4SEA shall:

  • process personal data only on documented instructions from the Client;
  • implement appropriate technical and organizational safeguards;
  • ensure personnel with access to personal data are subject to confidentiality obligations;
  • assist the Client where reasonably required to support compliance obligations;
  • notify the Client without undue delay upon becoming aware of a confirmed personal data breach affecting Client personal data;
  • process personal data only for the duration necessary to provide the Services and comply with legal obligations. 

 

5. Subprocessors
The Client authorizes RISK4SEA to engage trusted subprocessors supporting the operational delivery of the Services, including providers relating to:

  • cloud infrastructure;
  • authentication services;
  • cybersecurity systems;
  • analytics and monitoring tools;
  • communications and support systems.  

RISK4SEA shall maintain appropriate contractual safeguards with subprocessors where required by law.

 

6. International Transfers
Where personal data is transferred outside the European Economic Area (EEA), RISK4SEA shall implement appropriate transfer safeguards, including Standard Contractual Clauses (SCCs) or equivalent lawful transfer mechanisms where applicable.

 

7. Security Measures
RISK4SEA shall maintain commercially reasonable technical and organizational measures designed to protect personal data against unauthorized access, loss, misuse, disclosure or destruction.

8. Data Subject Requests
Where RISK4SEA receives a request directly from a data subject relating to Client personal data, RISK4SEA may redirect the request to the Client unless legally prohibited.

RISK4SEA shall reasonably assist the Client in responding to valid requests where required under applicable law.

 

9. Deletion & Retention
Upon termination of the Services and subject to applicable legal obligations, RISK4SEA shall delete or anonymize Client personal data within a commercially reasonable timeframe unless retention is legally required.

Certain operational logs, audit records and security records may be retained for compliance, cybersecurity or legitimate business continuity purposes.

 

10. Audit & Compliance Information
Upon reasonable request, RISK4SEA may provide information reasonably necessary to demonstrate compliance with this DPA, subject to confidentiality obligations and operational security limitations.

 

11. Governing Law
This DPA shall be governed by the laws governing the applicable Master Terms of Service or principal agreement between the parties.

Information Security Policy

1. Purpose
This Information Security Policy outlines the principles and controls implemented by RISK4SEA to protect the confidentiality, integrity and availability of the RISK4SEA platform, systems, services and operational data.

This Policy addresses information security governance only. Commercial terms, operational platform usage, privacy obligations, service levels and data processing arrangements are governed separately under the applicable RISK4SEA policies and agreements.

 

2. Security Objectives
RISK4SEA maintains security measures designed to:

  • protect platform infrastructure and operational systems;
  • safeguard Client and platform data;
  • reduce cybersecurity and operational risks;
  • support service continuity and resilience;
  • detect and respond to security incidents;
  • maintain operational reliability of intelligence and automation services.  

 

3. Access Control
Access to systems and operational environments is restricted based on authorized business need.

RISK4SEA implements measures that may include:

  • role-based access controls;
  • authentication and credential management;
  • least-privilege principles;
  • session monitoring;
  • controlled administrative access.  

Users are responsible for maintaining the confidentiality of their credentials and access methods.

 

4. Infrastructure & Hosting Security
RISK4SEA utilizes commercially reasonable hosting and infrastructure safeguards designed to support:

  • system redundancy;
  • network protection;
  • platform resilience;
  • backup management;
  • infrastructure monitoring;
  • operational continuity. 

Certain infrastructure components may be operated through trusted third-party cloud or technology providers.

 

5. Data Protection Measures
RISK4SEA applies technical and organizational measures designed to protect operational and personal data against unauthorized access, disclosure, alteration or destruction.

Security measures may include:

  • encrypted communications;
  • secure authentication practices;
  • controlled access environments;
  • logging and monitoring mechanisms;
  • backup and recovery procedures. 

 

6. Security Monitoring & Incident Response
RISK4SEA monitors systems and operational activity to identify potential cybersecurity threats, unauthorized access attempts or abnormal behavior.

In the event of a confirmed material security incident, RISK4SEA will implement commercially reasonable response and containment procedures.

Where legally or contractually required, affected parties may be notified in accordance with applicable obligations.

 

7. Operational Continuity
RISK4SEA maintains operational continuity and recovery measures intended to support platform resilience and restoration following disruptive events, including technical failures or cybersecurity incidents.

Recovery timelines may vary depending on the nature and severity of the event.

 

8. Personnel & Confidentiality
Personnel and authorized contractors with access to operational systems or sensitive information are subject to appropriate confidentiality and access control obligations.

Security awareness and operational handling procedures may be periodically reviewed and updated.

 

9. Third-Party Providers
RISK4SEA may rely on trusted third-party technology, hosting, analytics, monitoring or infrastructure providers supporting the delivery of the Platform.

Third-party providers are evaluated and engaged based on operational, security and business considerations.

 

10. Security Limitations
No digital platform, network or online service can guarantee absolute security or uninterrupted operation.

While RISK4SEA implements commercially reasonable safeguards, users acknowledge that cybersecurity risks, external attacks, infrastructure failures and operational disruptions may occur.

AI / Analytics Transparency Policy

1. Purpose
This AI / Analytics Transparency Policy explains the principles governing the analytical, predictive and intelligence capabilities provided through the RISK4SEA platform, including scoring systems, benchmarking models, predictive indicators, alerts, trend analysis and automated analytical outputs.

This Policy addresses analytical transparency and methodology governance principles only. Commercial terms, operational usage rules, data protection obligations and service commitments are governed separately under the applicable RISK4SEA policies and agreements.

 

2. Nature of the Platform
RISK4SEA operates as a maritime intelligence and analytics platform providing operational decision-support tools related to Port State Control (PSC), compliance exposure, benchmarking, inspection preparation, automation and predictive analytics.

Platform outputs may include:

  • predictive indicators;
  • risk scoring;
  • benchmarking results;
  • ranking systems;
  • trend analysis;
  • alerting mechanisms;
  • performance metrics;
  • analytical summaries;
  • operational recommendations.  

 

3. Data Sources
RISK4SEA analytics may rely on multiple operational and external data sources, including:

  • PSC inspection records;
  • detention records;
  • vessel and fleet operational profiles;
  • historical deficiency data;
  • port performance patterns;
  • AIS and voyage-related information;
  • user operational inputs;
  • regulatory and industry reference data. 

Certain external or third-party data sources may be incomplete, delayed or subject to independent limitations outside the control of RISK4SEA.

 

4. Analytical Methodologies
RISK4SEA utilizes proprietary methodologies, algorithms, weighting models, benchmarking systems and analytical logic to generate platform outputs.

Methodologies may evolve periodically based on:

  • expanded datasets;
  • industry developments;
  • operational learnings;
  • statistical refinement;
  • technological improvements;
  • analytical calibration. 

Certain outputs may incorporate automated analytical processing or machine-assisted modeling.

 

5. Human Oversight
RISK4SEA analytical systems are designed to support operational awareness and decision-making rather than replace professional maritime judgement.

Users remain responsible for evaluating operational decisions, compliance actions and vessel management activities using independent professional assessment.

 

6. Predictive & Analytical Limitations
Predictive indicators and analytical outputs are inherently probabilistic and may not accurately predict future events, inspection outcomes or operational performance.

Platform outputs may be affected by:

  • changing regulatory environments;
  • evolving PSC inspection behavior;
  • data availability limitations;
  • reporting delays;
  • operational anomalies;
  • external market or geopolitical conditions;
  • incomplete or inaccurate source data. 

No analytical model or predictive system can guarantee inspection outcomes, detention avoidance or regulatory compliance.

 

7. Benchmarking & Rankings
Benchmarking, scoring and ranking outputs are generated using proprietary methodologies and comparative analytical models.

Benchmark outputs are intended to provide relative operational insight and should not be interpreted as definitive statements of safety, compliance quality or organizational capability.

Benchmark methodologies may be updated periodically to maintain analytical consistency and relevance.

 

8. Continuous Improvement
RISK4SEA continuously reviews and refines analytical models, methodologies and intelligence capabilities to improve operational relevance, consistency and predictive value.

Analytical outputs may therefore change over time as methodologies and datasets evolve.

 

9. Intellectual Property
The methodologies, algorithms, scoring frameworks, analytical structures and intelligence models used within the Platform constitute proprietary intellectual property of RISK4SEA.

Unauthorized replication, extraction, reverse engineering or external commercialization of such methodologies is prohibited.

Service Level Agreement (SLA) Policy

1. Purpose
This Service Level Agreement (“SLA”) outlines the general service availability, support and operational response principles applicable to the RISK4SEA platform, APIs, dashboards, automation services and related digital services (collectively, the “Platform”).

This SLA addresses operational service commitments only. Commercial terms, platform usage rules, privacy obligations, security governance and analytical methodologies are governed separately under the applicable RISK4SEA policies and agreements.

 

2. Service Availability
RISK4SEA targets commercially reasonable platform availability and operational continuity for subscribed services.

Target availability objectives may vary depending on:

  • subscribed modules and services;
  • infrastructure dependencies;
  • scheduled maintenance activities;
  • third-party integrations;
  • force majeure events;
  • cybersecurity incidents or abnormal operational conditions. 

Unless otherwise agreed in writing, availability targets are measured on a monthly basis excluding excluded events outlined in this SLA.

 

3. Scheduled Maintenance
RISK4SEA may perform scheduled maintenance, upgrades, deployments or infrastructure updates necessary for:

  • platform stability;
  • cybersecurity protection;
  • feature enhancements;
  • operational continuity;
  • analytical model updates. 

Where reasonably practicable, advance notice may be provided for maintenance expected to materially impact platform availability.

 

4. Support Services
RISK4SEA provides commercially reasonable technical support for subscribed Clients through designated support channels.

Support may include:

  • access assistance;
  • operational troubleshooting;
  • issue investigation;
  • bug reporting;
  • platform guidance;
  • API support where applicable. 

Support availability and response times may vary depending on subscription scope and issue severity.

 

5. Incident Severity Classification
Operational incidents may be categorized generally as follows:

Critical Incident
Major platform outage or material disruption affecting core platform functionality across multiple Clients.

High Severity Incident
Significant impairment of important operational functions with no reasonable workaround available.

Medium Severity Incident

  • technical complexity;
  • third-party dependencies;
  • infrastructure providers;
  • cybersecurity conditions;
  • operational constraints.  

 

7. Excluded Events
This SLA does not apply to interruptions or degradation resulting from:

  • force majeure events;
  • internet or telecommunications failures outside RISK4SEA control;
  • third-party infrastructure outages;
  • Client-side systems or integrations;
  • unauthorized access or misuse;
  • unsupported configurations;
  • excessive or abnormal usage patterns;
  • cybersecurity attacks or malicious activity. 

 

8. Service Credits
Unless expressly agreed in writing under a separate enterprise agreement, this SLA does not provide automatic financial penalties or service credit entitlements.

Any discretionary service accommodations remain subject to case-by-case assessment by RISK4SEA.

 

9. Continuous Improvement
RISK4SEA continuously reviews platform operations, infrastructure resilience, analytical processing and support procedures to improve reliability, scalability and service quality. Operational capabilities and support structures may evolve over time.

Acceptable Use Policy

1. Purpose
This Acceptable Use Policy (“AUP”) defines prohibited, unauthorized and abusive activities relating to the use of the RISK4SEA platform, APIs, analytics, benchmarking tools, reports and related digital services (collectively, the “Platform”).

This Policy establishes operational usage boundaries intended to protect the integrity, security, intellectual property and lawful operation of the Platform.

Commercial terms, privacy obligations, security governance and benchmarking methodologies are governed separately under the applicable RISK4SEA policies and agreements.

 

2. Permitted Use
The Platform may only be used for legitimate internal maritime operational, compliance, analytical and business purposes consistent with the subscribed services and applicable laws.

Users are expected to act responsibly, professionally and in good faith when accessing or interacting with the Platform.

 

3. Prohibited Activities
Users shall not:

  • share accounts or credentials with unauthorized individuals;
  • copy, scrape, extract or systematically harvest Platform data;
  • reproduce or commercially redistribute Platform outputs without authorization;
  • use automated tools to access the Platform excessively or abusively;
  • reverse engineer, decompile or attempt to derive Platform logic, models or methodologies;
  • create competing datasets, intelligence systems or benchmark products using Platform outputs;
  • interfere with platform stability, infrastructure or operational integrity;
  • upload malicious software, harmful code or disruptive content;
  • bypass security controls or access restrictions;
  • perform unauthorized penetration testing or vulnerability scanning;
  • manipulate, distort or misrepresent Platform analytics or benchmark outputs;
  • use the Platform for unlawful, fraudulent or deceptive purposes;
  • use the Platform in violation of sanctions, export controls or applicable maritime regulations. 

 

4. Protection of Intelligence & Benchmarking Outputs
RISK4SEA analytical outputs, rankings, scores, methodologies, predictive indicators and benchmarking structures constitute proprietary intelligence assets.

Users shall not:

  • republish benchmark outputs externally without authorization;
  • present RISK4SEA analytics as independently generated intelligence;
  • aggregate Platform outputs into commercial databases or external products;
  • use Platform intelligence to train competing analytical or AI systems. 

 

5. API & Automated Usage Controls
Authorized API and automated integration must operate within approved technical and operational parameters.

Excessive querying, bulk extraction, automated replication or abnormal consumption behavior may result in restriction, throttling or suspension of access.

 

6. Monitoring & Enforcement
RISK4SEA may monitor Platform usage, access patterns and technical interactions for purposes including:

  • cybersecurity protection;
  • abuse detection;
  • operational integrity;
  • fraud prevention;
  • compliance enforcement. 

Where violations are identified, RISK4SEA may:

  • suspend or terminate access;
  • restrict specific activities;
  • investigate misuse;
  • pursue contractual or legal remedies where appropriate. 

 

7. Reporting Concerns
Users are encouraged to promptly report suspected misuse, security concerns or unauthorized activities affecting the Platform.

Benchmarking & Methodology Disclosure Policy

1. Purpose
This Benchmarking & Methodology Disclosure Policy explains the general principles governing the benchmarking frameworks, scoring systems, comparative analytics and methodological approaches used within the RISK4SEA platform and related intelligence publications.

This Policy is intended to support transparency, consistency and responsible interpretation of RISK4SEA analytical outputs.

  • changes in PSC inspection behavior;
